- Using extracted data to harm, threaten, or defraud someone
- Processing invoices as part of an illegal business
2. System Abuse
- Hacking, reverse-engineering, or trying to access others' data
- Automated bulk extraction (systematically downloading all invoices)
- Creating fake accounts to get more free usage
- Disrupting the service for others
- Running bots or scripts to overload our servers
3. Violating Others' Rights
- Uploading invoices with other people's private data without their consent
- Violating someone's intellectual property or confidentiality
- Harassing or threatening others using this tool
- Using the tool to spy on or track someone
Why We Care About This
If someone hacks our system, everyone loses access. If someone uploads confidential data without permission, we're legally liable. We protect these rules to protect all users.
What Happens If You Violate These Rules
- First offense: Warning email explaining the problem
- Repeated violation: Account suspension (you lose access but can request data export)
- Serious violation: (hacking, illegal use) Immediate account deletion + potential legal action
- Court orders: We comply with valid legal requests
Unclear about the rules? Unsure if something is allowed? Ask support@tro-matcher.com. We'd rather give permission than have you guess wrong.
5. Payment, Billing, and Subscriptions
How payment works, why we use Paddle, and how to cancel.
Payment Through Paddle
We use Paddle to handle all billing and payments. Here's why this is actually good for you:
- Paddle is the "Merchant of Record" (the official seller, not us)
- We never see or store your full credit card number
- Paddle handles taxes automatically (VAT, sales tax, etc.)
- Your payment data is more secure
- If a charge is wrong, Paddle handles the refund
Translation: Your payment information is more secure because Paddle specializes in payment security. We focus on invoice automation; they focus on payments.
Your invoice data and billing data stay completely separate. We use invoice data to extract vendor names. Paddle uses billing data to process subscriptions. Neither company shares data about you with the other.
Pricing and Plans
We offer three subscription tiers:
FREE: $0/month
- 10 extractions per month
- 5 comparisons per month
- No credit card required
- Full feature access
STARTER: $19/month
- 100 extractions per month
- 50 comparisons per month
- Email support
PRO: $49/month
- Unlimited extractions and comparisons
- Priority email support
- Live chat support
Prices are in USD. If you're in the UK or EU, VAT is added at checkout.
Upgrading and Downgrading
Upgrading: You can upgrade anytime through your account settings. We'll prorate the charge (charge you only for the days you use the new plan).
Downgrading: You can downgrade anytime. The change takes effect at the start of your next billing period. You don't get a refund for the current period.
Billing Details
- Billing occurs on the same date each month
- If payment fails, we'll retry 3 times over 5 days
- If payment keeps failing, we'll downgrade you to FREE after 15 days
Payment Processing
We use Paddle to process payments. When you subscribe:
- You provide billing information directly to Paddle
- Paddle processes the charge and handles your receipt
- We receive only: email, subscription tier, payment status
- Paddle complies with global security standards (PCI DSS, etc.)
For questions about charges or payment, contact Paddle (we're not the payment processor).
Cancellation and Refunds
- Cancel anytime through Settings > Subscription > Cancel
- Cancellation takes effect immediately
- You keep access through the end of your current billing period
- For example, if you pay on January 15 and cancel on January 20, you have access until February 15
For refunds: Paddle handles all refund requests through their policy. We don't process refunds directly. Contact Paddle for refund requests within 30 days of purchase.
No Auto-Renewal Tricks
- Your subscription auto-renews on the same date each month
- You can cancel anytime
- No sneaky auto-enrollment in higher tiers
- No surprise charges ever
6. Intellectual Property and Data Ownership
What you own, what we own, and what that means.
Let's be clear about who owns what. This affects your ability to use and keep your data.
| What | Who Owns It | Details |
|---|---|---|
| Your invoices | You | We're just processing them |
| Extracted data | You | Export anytime (CSV/PDF) |
| Comparison reports | You | You generated them |
| Account data | You | Your email, name, profile settings |
| TRO Matcher software | Us | Our code, design, AI |
| Our logo and brand | Us | Don't copy or claim you built us |
| Google Gemini AI | We license it from Google | |
| Improvements to extraction accuracy | Us | We keep improvements to benefit all users |
You Own Your Data
- Your invoices are yours. We just extract data from them.
- Extracted data is yours. Export invoices as CSV, comparisons as CSV or PDF.
- Comparison reports are yours. Do what you want with them.
- Account data is yours. Delete invoices from your Invoices page, or contact support to export or delete your account.
We Own the Service
- TRO Matcher software is ours
- Our design, layout, code, and methodology are ours
- Our logo, brand name, and copy are ours
- Improvements we make to AI extraction are ours (they benefit all users)
You Cannot
- Copy our code or reverse-engineer how we work
- Claim you built TRO Matcher (you didn't)
- Use our logo or brand name without permission
- Sell access to TRO Matcher under your own name
You Can
- Export all your data in standard formats (CSV, PDF)
- Use extracted data however you want (your invoices, your data)
- Delete your account and all data
- Cancel and take your data with you
- Mention that you use TRO Matcher (testimonials are welcome)
We Can
- Use data patterns to improve AI accuracy (anonymized, never identifying you)
- Use your feedback to improve the product
- Share your company name if you're a customer (only with permission)
- Be acquired by another company (we'd keep your data safe)
7. About AI Extraction Accuracy
AI-powered extraction with confidence scoring. You always have the final say.
How Does Our AI Work?
We use Google Gemini AI to extract data from your invoices. The AI is designed to be fast and accurate, but it's not perfect—no AI is.
Why Confidence Scores Matter
Every extraction includes confidence scores so you know which fields to double-check:
What We Show You
When we extract an invoice, we show confidence scores:
- High confidence (90%+): "This field is probably correct"
- Medium confidence (70-89%): "This field might be correct, worth checking"
- Low confidence (<70%): "This field is uncertain, please review"
Real Example
Invoice uploaded:
- Vendor: "ACME Corp"95% ✓
- Invoice number: "INV-2026-0042"99% ✓
- Invoice date: "2026-01-15"98% ✓
- Total amount: "$2,400.50"92% ✓
- Line items65% ⚠️
You review the low-confidence line items, fix one that was wrong, then use the data.
What This Means
You're in control. You see the data before using it. You can:
- Correct extracted data directly in our system
- Re-extract with a clearer image or different angle
- Type it manually if AI doesn't work
- Delete the extraction and try again
You're never forced to use AI-extracted data. You have final review always.
If We Get It Wrong
- You correct it and move on (most common)
- It's not our fault if you approve incorrect data without reviewing
- It IS our fault if we don't flag low-confidence fields
- If we consistently mis-extract the same field type, we'll improve it
What We Provide:
AI-powered extraction with confidence scoring on every field to help you identify what needs review.
Important: AI extraction is provided as a convenience. We make no guarantee of accuracy. You're responsible for verifying extracted data before relying on it for any business decision.
Use our AI to save time. Always double-check before you act.
Reduced Accuracy For
- Handwritten invoices (AI can read them, but with reduced accuracy)
- Non-English invoices (AI is optimized for English; other languages may have reduced accuracy)
- Highly custom invoice formats (let us know and we'll improve)
- Scanned PDFs with poor image quality (AI can read them, but clearer images produce better results)
Hit one of these? Email support@tro-matcher.com with the invoice. We'll process it manually or work on improving AI for that type.
AI Provider Notice
Our AI extraction uses Google Gemini, provided "as is" by Google. AI models may produce errors, hallucinations, or incorrect extractions. We provide confidence scores but cannot guarantee accuracy.
Your responsibility: Verify extracted data against original documents before making business decisions.
8. Limits on Our Liability
What we are and aren't responsible for.
Here's What We Do Cover
- ✓We encrypt your data with industry-standard encryption
- ✓We back up your data regularly
- ✓We address bugs and security vulnerabilities when reported
- ✓We strive to maintain high service availability. Service may be affected by maintenance windows, third-party dependencies, and factors beyond our control (see Section 17 Force Majeure). We do not offer a formal SLA
- ✓We comply with GDPR and other privacy laws
Here's What We Don't Cover
1. Data Loss from Your Actions
If you delete your account and later want it back, we can't restore it. Backups exist for security, not as undo buttons. This is standard across the internet.
Your responsibility: Don't delete things you want to keep.
2. Wrong Business Decisions from Incorrect Data
AI extraction includes confidence scores so you know what to review. If you approve a vendor quote we extracted without reviewing it, and the AI was wrong, that's not our responsibility.
Your responsibility: Always verify extracted data before using it for decisions.
3. Service Outages
We strive for high uptime but do not guarantee specific availability levels. Sometimes servers go down. We're not liable for business losses from outages (lost revenue, missed deadlines, etc.).
Our responsibility: Restore service quickly and notify you.
4. Problems with Third-Party Services
We use Google Gemini AI, Paddle, Supabase, and others. If they have problems, we can't control that. We're not liable for their failures.
Your responsibility: Understand that internet services depend on third parties.
5. Bugs or Unexpected Behavior
We try to catch bugs. If you find one, report it. We'll fix it. But we're not liable for damage caused by bugs (unless it's gross negligence).
Your responsibility: Test features before relying on them in production.
Maximum Liability Cap
If something goes really wrong and we're legally at fault, here's our maximum liability:
The greater of: (a) Amount you paid us in the last 12 months, or (b) $50
Example: If you paid us $588 over 12 months ($49/mo PRO) and something goes wrong, we're liable for maximum $588, not $10,000.
Why: This is standard for SaaS. Insurance and risk management require caps.
This Doesn't Cover
This limitation doesn't apply to:
- Bodily injury or death (we'll be fully liable)
- Fraud or intentional misconduct
- Violation of law (we're still fully liable)
Disclaimer: Service Provided "As Is"

YOU ACKNOWLEDGE THAT YOU HAVE NOT RELIED ON ANY REPRESENTATION OR WARRANTY NOT SET FORTH IN THESE TERMS.

What About Other People's Data on Invoices?

- Vendor addresses and phone numbers
- Payment account details (partially)
You're responsible for ensuring that processing these invoices doesn't violate:
- Privacy laws (GDPR, CCPA, etc.)
- Confidentiality agreements
- Employment laws
- Banking secrecy laws
Example: If you upload an invoice from "ACME Corp" that happens to have an employee's personal email, you're responsible for making sure that's legal to process.
We're Not Responsible If

- You process invoices without proper authorization
- You violate privacy laws
We Are Responsible For

To the extent our liability can be limited, our liability is limited to re-supplying the services or payment of the cost of having them re-supplied.

17. Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control.
Events Beyond Our Control
Neither we nor you will be liable for any delay or failure to perform obligations under these Terms if the delay or failure is due to circumstances beyond reasonable control ("Force Majeure Event").
Force Majeure Events include, but are not limited to:
- Natural disasters (earthquakes, floods, hurricanes, fires)
- Acts of God, pandemics, or epidemics
- War, terrorism, civil unrest, or armed conflict
- Government actions, embargoes, or sanctions
- Labor disputes, strikes, or lockouts
- Internet or telecommunications failures beyond our reasonable control
- Third-party service provider outages (Google, Paddle, AWS, etc.)
- Cyberattacks, DDoS attacks, or hacking attempts
- Power outages or utility failures
- Any other circumstances beyond the reasonable control of the affected party
Our Obligations During Force Majeure
If a Force Majeure Event occurs:
- We will notify you as soon as reasonably practicable about the event and its expected duration
- We will use commercially reasonable efforts to minimize the impact and resume normal operations
- Our obligations under these Terms will be suspended for the duration of the event
- If the event continues for more than 30 days, either party may terminate without liability
Your Rights During Extended Outages
If a Force Majeure Event prevents us from providing the Service for more than 14 consecutive days:
- You may request a pro-rata refund or credit for the affected period
- You may cancel your subscription without penalty
- We will provide advance notice when service is expected to resume
Important: This clause does not excuse payment obligations, protect against claims arising before the Force Majeure Event, or excuse performance that was due before the event occurred.
18. Miscellaneous Terms
Catch-all legal provisions.
Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
If you've signed a separate Service Agreement with us, that takes priority over these Terms for any conflicting provisions.
Severability
If any provision is found to be unenforceable, the rest of the agreement remains in effect. We'll replace the unenforceable provision with one that's enforceable and achieves the same intent.
Waiver
If we don't enforce a provision, that doesn't mean we've waived it. We reserve the right to enforce it later.
Assignment
We can assign these Terms to another company if:
- We merge with or are acquired by another company
- We sell our assets
- We give you 30 days' notice and you can cancel if you disagree
You cannot assign these Terms without our written consent.
